To print this article, all you need is to be registered or login on Mondaq.com. 2023年10月に、国家知識産権局は、商標譲渡手続きに関する法律規定や審査手続きを明確するように、「商標譲渡手続きに関する指導」（以下は「指導」という）を発表した。 「指導」により、商標譲渡は二つの主体の間の権利譲渡であるが、商標は商品・役務の出所を区別する作用があるため、双方の合意以外、消費者への影響も考慮する必要がある。関連規定を守らないと、不許可される可能性がある。ここで、複数の商標譲渡が不許可の情状を紹介する。 1、全部譲渡すべき商標について譲渡しない場合、 「商標法」第42条の規定により、譲渡人の名義での同一商品における類似商標、又は、類似商品における同一又は類似商標に対して、一括して譲渡手続きを行う必要がある。 即ち、当該譲渡人名義での同一又は類似商品における類似商標に対して、一括して譲渡手続きを行わない場合、商標譲渡手続きが不許可されることになる。 2、商標が無効になった場合、 商標譲渡の対象は有効商標でなければならない。よって、更新されない・取り消された・無効されたなどの理由で無効になった商標については、商標譲渡を行っても、不許可されることになる。 3、消費者に誤認を生じさせやすい又は不良影響を有する場合、 消費者に誤認を生じさせやすい又は不良影響を有する場合、商標譲渡を行っても、不許可される。具体的には、下記の情状がある。 3.1 団体商標・証明商標の譲受人が関連資格に満たさない 団体商標・証明商標の申請主体について厳格な要求がある。例えば、団体商標の主体が、団体、協会又はそのほかの組織であり、証明商標の主体がある商品又は役務について監督能力の有する組織である。よって、団体商標・証明商標の譲渡手続きについて、譲受人が関連資格に満たさない場合、商標譲渡を行っても、不許可されることになる。 3.2 地名を含む商標を当該地域以外の主体へ譲渡する場合 地名を含む商標を当該地域以外の主体へ譲渡する場合、消費者に商品の産地や出所について誤認を生じさせやすいため、一般的には、商標譲渡が不許可されることになる。 3.3 企業名称を含む商標を他主体へ譲渡する場合 例えば、「A株式会社」はその会社の全称で商標出願し、登録許可された。「A株式会社」は「B株式会社」へこの商標を譲渡する場合、商標に含まれる名称である「A株式会社」と譲受人である「B株式会社」とは一致しないため、消費者に商品の出所について誤認を生じさせやすいため、一般的には、商標譲渡が不許可されることになる。 3.4 特別の意味を有する商標について、 特別の意味を有する商標について、譲渡されると、政治・経済・文化・宗教・民族などの社会公共利益・秩序などについて不良な影響を与える可能性がある場合、一般的には、商標譲渡が不許可されることになる。 3.5 商標代理企業が自分の代理サービス以外に商標を出願・譲渡する場合 「商標法」第19条により、商標代理企業は自分の代理サービス以外の商品と役務において、商標を出願できない。もちろん、譲渡により、自分の代理サービス以外の商品と役務において商標権を取得することもできない。 …
